Terms of Service
Introduction and Acceptance of Terms:
These Terms of Service ("Terms") govern the use of Patriot Logistics' website and the provision of all freight shipping and logistics services ("Services") provided by Patriot Logistics (referred to as "Patriot," "we," or "us") to our clients. By accessing our website or using our freight Services, you agree to be bound by these Terms. These Terms form a binding legal agreement between Patriot Logistics and you, the Customer ("Customer," "client," or "you"). If you do not agree with any part of these Terms, you must refrain from using our website or Services.
B2B Services – Commercial Use Only:
Patriot Logistics is a business-to-business service provider operating exclusively in Alaska. Our Services are offered only to commercial, corporate, government, or other organizational clients. We do not provide shipping services to individual consumers for personal or household purposes, and our website is not intended for use by the general consuming public. By engaging Patriot, you represent and warrant that you are doing so in the capacity of a business or on behalf of a business entity, and not as a consumer. You further represent that you have the authority to bind the business you represent to these Terms. We reserve the right to refuse or terminate service if we discover the shipment is personal/residential in nature or if you are not an authorized business representative.
Accounts and Client Information:
In order to use certain Services (such as scheduling shipments, obtaining quotes, or accessing shipment tracking and billing info), you may need to provide information and, in some cases, create an account with us. The following rules apply to account creation and information you provide:
- Accuracy of Information: You agree to provide true, accurate, current, and complete information about your company and shipment when requested. This includes (but is not limited to) providing correct names, addresses, contact details, shipment contents, weights, and any regulatory information required (such as hazardous material declarations). Misrepresentation of a shipment or providing false information may result in delays, refusal of service, or termination of your account.
- Account Security: If you register for an online account or are provided login credentials to access our systems, you are responsible for maintaining the confidentiality of your account username and password. You agree to not share your login details with any unauthorized person. You must notify Patriot immediately at info@transportalaska.net if you suspect any unauthorized use of your account or a security breach. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
- Use of Account: You are responsible for all activities that occur under your account. Ensure that anyone using the account on your behalf (e.g. your employees) abides by these Terms. We reserve the right to suspend or terminate accounts that are used in violation of these Terms or any applicable law.
Shipment Orders and Service Execution:
When you tender freight to Patriot Logistics or place an order for shipment, you agree to the following terms and customer responsibilities:
- Compliance with Law and Policies: All shipments must comply with applicable laws and regulations. You are responsible for ensuring that the content of your shipment is legal to transport and does not violate any law. This includes abiding by all U.S. Department of Transportation (DOT) regulations, Alaska state regulations, and (if applicable) air transit security rules. You must not tender any prohibited or restricted items without prior written agreement from Patriot. Prohibited items include, for example, illegal goods, contraband, or hazardous materials that are not properly declared or packaged. If you are shipping any regulated hazardous materials or dangerous goods, you must inform Patriot in advance and provide all necessary documentation and packaging as required by law. Patriot reserves the right to inspect shipments or require documentation to verify compliance, and to refuse or suspend service for any shipment that we suspect may violate laws or pose unusual risks.
- Packaging and Labeling: You are responsible for properly packaging and labeling your freight. All goods should be packed in a manner safe for transport, given the nature of the cargo and the modes of transportation involved. Delicate or fragile items should be adequately protected. Each piece of a shipment should have appropriate labels, including delivery address and any necessary handling instructions (e.g. "This side up", "Fragile", or hazardous material labels). Patriot is not liable for damage caused by inadequate packaging or mislabeling done by the shipper. If Patriot provides packing or crating services as part of our arrangement, we will perform them with due care; however, ultimate responsibility for ensuring cargo is suitably prepared for shipment rests with the Customer unless expressly agreed otherwise in writing.
- Accurate Weight and Description: It is critical to provide accurate weight, dimensions, and description of your freight. Our pricing and safe handling depend on this information. We may weigh or measure shipments; if the actual weight or size differs from what was provided, you may be subject to adjusted charges. Providing incorrect information (whether intentional or by mistake) that impacts safety or compliance (for example, under-declaring hazardous material or weight) could result in service refusal and you may be liable for any resulting costs, delays, or damages.
- Pickup and Delivery Conditions: You (or your designated contact) are responsible for ensuring that there is appropriate access and availability at the agreed pickup and delivery locations and times. If special equipment is needed for loading or unloading (such as a forklift or liftgate), this must be arranged in advance. If nobody is present to release or accept the freight at the scheduled time, or if the location is inaccessible, additional charges (such as redelivery fees or storage fees) may apply, and there could be delays. Patriot will attempt to coordinate with your team to avoid such issues, but the Customer must make reasonable efforts to facilitate smooth pickup and delivery.
- Payment of Charges: You agree to pay all applicable freight charges, fees, and surcharges for the Services provided, as quoted or as per a separate written contract or tariff. Payment terms (due dates, late fees, etc.) will be as indicated on your invoice or contract. For clients with credit accounts, invoices are typically due within a set period (e.g., Net 30 days) unless otherwise stated. Late payments may incur interest or late fees as permitted by law and outlined on the invoice. If payment is not received and your account becomes delinquent, Patriot reserves the right to suspend service, withhold release of current shipments, or exercise any carrier's lien rights permitted by law (meaning we may hold freight in our possession until payment issues are resolved). You are responsible for any collection costs (including reasonable attorneys' fees) that we incur in recovering overdue amounts.
- Customer Indemnification: You agree to indemnify, defend, and hold harmless Patriot Logistics, its affiliates, and its employees/agents from any claims, losses, liabilities, or damages (including legal fees) arising out of or related to: (i) your breach of these Terms or other agreement with Patriot, (ii) your violation of any laws or regulations in connection with a shipment (for example, shipping hazardous goods without disclosure, or exporting items without required licenses), or (iii) any injury, damage, or loss caused by the goods you ship with us (for instance, if your improperly packaged or declared item causes damage to other cargo or property, or harm to persons). This indemnification obligation remains in effect even after the shipment is delivered or after termination of Services.
Acceptable Use of Website and Services:
You agree to use Patriot Logistics' website and services for their intended business purposes only. Prohibited activities include, but are not limited to:
- Using our site or services for any unlawful purpose or to facilitate illegal activity.
- Attempting to gain unauthorized access to Patriot's systems or data, or disrupting the integrity or performance of our website or Service. This means you will not attempt hacking, introduce malware, perform denial-of-service attacks, or otherwise interfere with our technology.
- Misrepresenting your identity or affiliation when communicating with us or using our online tools. All information submitted must truly pertain to you or your company.
- Reselling or misusing our services. You may not present yourself as a freight broker or intermediary using Patriot's services without authorization. Our services are meant for end customers (or authorized 3rd-party logistics providers with whom we have agreements).
- Engaging in any behavior that could harm Patriot's reputation or that of our other customers, such as using our shipping services to send harassing, dangerous, or offensive materials.
Violation of the above acceptable use provisions may result in immediate termination or suspension of your access to the website or Services, at Patriot's sole discretion, and may also result in legal action.
Service Availability and Force Majeure:
Patriot Logistics strives to provide reliable, timely service, but service availability is subject to conditions and contingencies that can affect transportation in Alaska. We do not guarantee that the Services will be uninterrupted or available at all times. By its nature, freight transport can be affected by events beyond our control. Accordingly:
- Operational Downtime: Our website and digital tools may occasionally be unavailable for maintenance or due to technical issues. We will attempt to perform maintenance during off-peak hours and provide notice for scheduled downtime when possible. However, we are not liable for any inconvenience or losses you may suffer if the site is inaccessible or slow.
- Transit Times: Any transit times or delivery dates we provide (for example, in a quote or shipment confirmation) are estimates, not guarantees. Due to Alaska's challenging geography and weather, deliveries can be delayed by factors such as snowstorms, ice roads, extreme cold, natural disasters (e.g., earthquakes), or other unforeseen events (e.g., road closures, mechanical breakdowns). Patriot will make commercially reasonable efforts to meet schedules, but you acknowledge that delays may occur. We disclaim liability for consequences of delays that are out of our control.
- Force Majeure: Patriot Logistics is not liable for failure to perform or delays in performance caused by events beyond our reasonable control. This includes, but is not limited to, acts of God (e.g., severe weather, floods, earthquakes), acts of government or regulatory authorities, wars, terrorism, labor disputes or strikes, national emergencies, pandemics, power outages, or widespread Internet/network failures. In such events, we reserve the right to suspend or modify our services temporarily. We will communicate with you about any major service interruptions and will resume normal operations as soon as feasible.
- Remote and Rural Service: Many areas in Alaska are remote or have limited infrastructure. If your shipment involves remote Alaska locations, special arrangements (such as charter flights, boat transport, or winter ice road delivery) might be necessary and schedules may be irregular. Patriot will endeavor to service all reachable locations, but very remote deliveries might be subject to specific schedules or dependent on minimum volume. We will clearly communicate any such limitations in advance. You agree that in such cases, flexibility and additional transit time may be required, and Patriot will not be liable for delays inherent to servicing remote areas.
Freight Liability and Disclaimers:
Patriot Logistics will handle your freight with care and professionalism. However, to the maximum extent permitted by law, we limit our liability for loss or damage to shipments as outlined below:
- Limited Carrier Liability: If your shipment is lost, damaged, or delayed due to Patriot's handling, our liability (if any) will be limited to the direct loss or damage to the goods, and shall not exceed the lesser of (a) the actual value of the lost or damaged goods, or (b) the amount you paid to Patriot for the shipping of those goods. In many cases, we operate under standard carrier liability limits (for example, certain freight classes have liability by weight or volume). We do not provide automatic full-value insurance coverage. If you have particularly high-value cargo, it is your responsibility to request cargo insurance or declare a higher value (which may involve additional fees and a separate written agreement). If no higher value is declared and accepted by us in writing, the above limitation will apply.
- No Consequential Damages: Patriot is not liable for any indirect, incidental, or consequential damages arising from or related to our services, even if we are aware of the possibility of such damages. This includes, for example, lost profits, loss of business opportunities, production downtime, or penalties you incur with third parties due to a late or damaged delivery. By using our services, you agree that your exclusive remedy for any claim against Patriot shall be the direct cost of the freight or service in question, subject to the cap described above.
- Exclusions of Liability: There are certain circumstances under which Patriot will not be liable for loss or damage to goods. These include (but are not limited to):
- Inherent Vice: Damage or loss caused by the nature of the goods themselves (for example, perishable items spoiling due to inherent delay, goods that leak or melt due to their own properties, etc.). We cannot be responsible for deterioration of perishable goods if delayed, unless you have arranged for special handling with us in advance.
- Improper Packaging: Any damage resulting from your failure to properly pack, secure, or label the shipment. (As noted, we're not responsible for damages that could have been prevented with adequate packaging.)
- Customer-Handled Transport: Situations where the Customer (or consignee) handles the goods – e.g., if you or your agent load or unload the freight and damage occurs at that time, Patriot isn't liable for those handling damages not caused by us.
- Uncontrollable Events: Loss, damage, or delay due to events outside of Patriot's control, as covered in the Force Majeure section (weather, natural disasters, acts of third parties like theft despite reasonable security measures, etc.). For instance, if a ferry route is cancelled due to a storm and freight is delayed, we are not liable for that delay.
- Prohibited or Restricted Goods: If you breached our policy by shipping prohibited items or hazardous materials without disclosure, Patriot shall have no liability for any loss or damage related to those items, and you will be responsible for any resulting damages or regulatory penalties. We also reserve the right to dispose of or turn over to authorities any illegal or unsafe goods tendered, without compensation.
- Concealed Damage or Late Claims: We require that any claims for loss or damage be reported to Patriot promptly. If you notice damage upon delivery, you (or the receiving party) should note it on the delivery receipt and notify us within a reasonable time (we recommend within 5 business days of delivery for damage, or within 15 days of the expected delivery date in case of non-delivery). Failing to provide timely notice may impede our ability to investigate and could result in denial of your claim. While we do not impose an arbitrary short window for claims, waiting an excessive time (beyond 60 days, for example) may forfeit any claim due to difficulty in verification. Similarly, we cannot be responsible for concealed damage (damage not visible at delivery) if reported long after delivery.
- No Warranties: Apart from any written service commitments we explicitly make, Patriot Logistics provides all services "as is" without any warranty or guarantee of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability or fitness for a particular purpose. For example, we do not guarantee that a shipment will fit any particular need you haven't communicated to us, or that delivery will meet any particular outcome or deadline beyond our control. We will, of course, exercise reasonable care and skill in providing our freight services, but there is no absolute guarantee in logistics due to the factors discussed.
Intellectual Property:
All content on Patriot Logistics' website – including text, graphics, logos, images, software, and design – is the property of Patriot Logistics or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. "Patriot Logistics" and our logos or slogans are our trademarks/service marks. You may not use, reproduce, distribute, or display any content from our site or materials (such as service brochures, documents, etc.) without our prior written consent, except for your own internal business use in connection with our services. You are granted a limited, revocable license to access and use our website and materials for purposes of obtaining quotes, managing shipments, or otherwise using our Services. Any unauthorized use (for example, scraping our site, or using our name/logo in a way that confuses others) is expressly prohibited and may result in termination of your access as well as legal action.
Termination of Service:
Either Patriot Logistics or the Customer may terminate the business relationship at any time, subject to the fulfillment of any outstanding obligations. For example, if you wish to stop using our Services, you remain responsible for paying for any shipments already in transit or completed. Patriot may terminate or suspend Services to you if you violate these Terms or if we determine it is no longer feasible or lawful to continue providing services to you (for instance, if you repeatedly breach shipping regulations or default on payments). In the event of termination, any provisions of these Terms which by their nature should survive (such as payment obligations, liability limitations, indemnity, governing law, etc.) will continue in effect. Additionally, Patriot reserves the right to refuse future service to anyone who has violated these Terms or engaged in conduct harmful to Patriot or our customers.
Governing Law and Jurisdiction:
These Terms of Service and any dispute arising out of or relating to the Services or this agreement shall be governed by the laws of the State of Alaska, without regard to its conflict of laws principles. You agree that any legal action or proceeding concerning the Services or these Terms shall be brought in the courts (state or federal) located in the State of Alaska. You hereby consent to the exclusive jurisdiction and venue of courts in Alaska for the resolution of any such dispute. You also waive any objections to such jurisdiction or venue, including any defense claiming inconvenient forum. Note: Although we operate exclusively in Alaska, our Services may involve interstate commerce (e.g., connecting with carriers outside Alaska); to that extent, certain federal transportation laws (such as the Carmack Amendment for interstate shipments) may apply. These Terms are intended to be consistent with applicable federal law. Where Alaska state law applies, it will govern to the fullest extent permitted.
Changes to Terms:
Patriot Logistics may update or modify these Terms of Service from time to time. Changes will reflect in the "Last Updated" date at the top of this document. We will notify active customers of significant changes (for example, by email or by a notice on our website), but it is also your responsibility to review the Terms periodically for any updates. Continued use of our Services or website after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the amended terms, you must stop using the Services and, if applicable, arrange to close your account. No modification of these Terms by you is valid unless expressly agreed in writing by an authorized representative of Patriot Logistics.
Miscellaneous Provisions:
- Entire Agreement: These Terms (along with any Service-specific agreement, bill of lading, tariff, or rate confirmation that we provide for particular shipments) constitute the entire agreement between you and Patriot Logistics regarding the use of our Services and website. They supersede any prior agreements or understandings, whether written or oral, relating to the subject matter. In case of a direct conflict between these general Terms and a specific written contract or bill of lading for a particular shipment, the specific agreement will govern for that shipment to the extent of the conflict.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed severed from the Terms and will not affect the validity of the remaining provisions, which will remain in full force and effect. The parties shall endeavor in good faith to replace any invalid or unenforceable provision with a valid one that is as close as possible to the original intent and economic effect.
- No Waiver: Patriot Logistics' failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing to be effective. If we waive a breach of one provision, it does not mean we waive any future breaches or any other provisions.
- Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. Any attempted assignment without consent is void. Patriot Logistics may assign or transfer this agreement (for example, in the event of a corporate reorganization or merger) to an affiliate or successor as part of a business transfer, provided that the assignee agrees to be bound by these Terms.
- Independent Contractors: Patriot Logistics provides services as an independent contractor. Nothing in these Terms is intended to create any joint venture, partnership, or agency relationship between Patriot and you. Neither party has the right to bind the other to any obligation, and neither party is an agent for the other.
- Third-Party Beneficiaries: These Terms are for the benefit of Patriot Logistics and our Customer only. They are not intended to benefit any unrelated third parties. No third party shall have any rights to enforce any portion of these Terms.
